This End-User License Agreement ("Agreement" or "EULA") is a binding legal agreement between you ("you" or "User") and Tenders Alerts ("we", "us", "our", or the "Developer"), governing your download, installation, and use of the Tenders Alerts mobile application and the services made available through it (collectively, the "App"). The App provides access to the Tenders Alerts platform (tendersalerts.com), which aggregates and presents Saudi government tender and competition information from sources such as the Etimad (اعتماد) and Forsa (فرصة) platforms, together with related notifications, search, analysis, and management tools.

By downloading, installing, or using the App, you confirm that you have read, understood, and agree to be bound by this Agreement, the Tenders Alerts Terms of Use, and the Privacy Policy, which are incorporated into this Agreement by reference. If you do not agree, do not download, install, or use the App.

1. Acknowledgement (Apple)

This Agreement is concluded between you and the Developer only, and not with Apple Inc. ("Apple"). The Developer, not Apple, is solely responsible for the App and its content. Apple is not a party to this Agreement and has no obligation whatsoever to furnish any maintenance or support services with respect to the App. This Agreement may not provide for usage rules for the App that are in conflict with, or less restrictive than, the Apple Media Services Terms and Conditions and the Usage Rules set forth therein, which you acknowledge you have had the opportunity to review.

2. License Grant and Scope

Subject to your compliance with this Agreement, the Developer grants you a limited, non-exclusive, non-transferable, revocable license to download and use the App on any Apple-branded products that you own or control, and as permitted by the Usage Rules set out in the Apple Media Services Terms and Conditions, except that the App may be accessed and used by other accounts associated with you via Family Sharing or volume purchasing.

The App and all content, data, designs, graphics, logos, tables, analyses, and databases made available through it are licensed, not sold, to you. The Developer (or its licensors) retains all right, title, and interest in and to the App and its content, including all intellectual property rights, as further described in Section 8 below.

3. Subscriptions, Auto-Renewal, and Payment

The App offers access to the Tenders Alerts service through auto-renewable subscriptions. The following terms apply to all subscriptions purchased through the App:

• Subscription title: Tenders Alerts Subscription (access to the Tenders Alerts platform).
• Subscription length: Subscriptions are offered in recurring periods (for example, monthly, six-month, annual, and two-year plans). The exact available plans and their durations are displayed in the App and on the App Store at the time of purchase.
• Price: The price of each subscription, and the price per period where applicable, is displayed clearly in the App and on the App Store at the point of purchase, in your local currency where supported.
• Billing and auto-renewal: Payment is charged to your Apple Account at confirmation of purchase. Subscriptions renew automatically at the then-current price for the same period unless auto-renewal is turned off at least 24 hours before the end of the current period. Your Apple Account is charged for renewal within 24 hours prior to the end of the current period.
• Managing and cancelling: You can manage your subscription and turn off auto-renewal in your Apple Account settings after purchase. Cancellation takes effect at the end of the current paid period; you retain access until then.
• Refunds: Purchases made through the App are processed by Apple and are subject to Apple's refund policies. Where applicable, refunds are handled by Apple, not by the Developer. The Developer's separate Refund Policy applies to purchases made directly through the website.

4. Accounts, Individual Use, and No Sharing

A standard subscription to Tenders Alerts is an individual subscription intended for use by a single person only. You agree to:

• keep your username, password, and login credentials confidential;
• not share your account or login credentials with any other person, whether inside or outside your organization; and
• provide accurate information and keep it up to date.

You are fully responsible for all activity that occurs under your account, including login records, IP addresses, and usage logs. Organizations requiring multiple users may subscribe to dedicated team or enterprise plans that allow multiple users under a single account.

5. Device Registration and Tracking

To verify individual use and protect the integrity of subscriptions, the platform uses technical means to register and track the devices used to access an account. The first time an account is accessed from a device, that device is automatically registered, within the limits permitted per subscriber:

The 30-day period is calculated from the date of the last swap for each device type. By using the App, you expressly agree to these device limits. We reserve the right to suspend or terminate any account that exceeds these limits or is suspected of misuse, immediately and without prior notice, and without refund of amounts paid.

6. Fair Use

We apply a fair-use policy to maintain service quality for all subscribers, including monthly limits on records exported, bills of quantities downloaded or viewed, and the number of competitions, companies, government entities, offers, analyses, searches, and filters that may be accessed per subscription cycle. These limits are calculated automatically and reset at the start of each cycle. Any deliberate attempt to circumvent or exceed these limits is a material breach of this Agreement and may result in temporary or permanent restriction of the service. Current fair-use limits are set out in the Terms of Use.

7. Permitted Use and Restrictions

All data, documents, analyses, and bills of quantities made available through the App are provided exclusively for studying tenders and preparing to participate in them. You may view and use the content for your personal, individual use only, and you may not:

• modify, copy, or redistribute the content;
• share the content with unauthorized parties or store it outside the permitted purpose;
• resell, redistribute, or publish the content in any form; or
• use the data for commercial, marketing, or competitive purposes without prior written permission.

Any violation may result in immediate termination of your subscription and appropriate legal action.

8. Intellectual Property Rights

We own, or are licensed to use, all intellectual property rights in the App and its content. In the event of any third-party claim that the App or your possession and use of the App infringes that third party's intellectual property rights, the Developer, not Apple, will be solely responsible for the investigation, defense, settlement, and discharge of any such claim, to the extent required by this Agreement.

9. No Reliance on Information

The content and data available through the App are provided for general informational purposes only and do not constitute legal, financial, technical, or professional advice. We do not warrant the accuracy, completeness, or timeliness of the content, and we accept no responsibility for any decisions made in reliance on it. Tenders Alerts is an independent platform and is not affiliated with, or operated by, the Etimad or Forsa platforms. Official registration, pricing, and submission of bids take place only through the relevant government platform.

10. Maintenance and Support

The Developer is solely responsible for providing any maintenance and support services with respect to the App, as required under applicable law. Apple has no obligation whatsoever to furnish any maintenance or support services with respect to the App. For support, contact the Developer using the details in Section 17.

11. Warranty

The Developer is solely responsible for any product warranties, whether express or implied by law, to the extent not effectively disclaimed. To the maximum extent permitted by applicable law, the App is provided "as is" and "as available," without warranty of any kind. In the event of any failure of the App to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any) for the App to you; to the maximum extent permitted by applicable law, Apple will have no other warranty obligation whatsoever with respect to the App. Any other claims, losses, liabilities, damages, costs, or expenses attributable to any failure to conform to any warranty will be the sole responsibility of the Developer.

12. Product Claims

The Developer, not Apple, is responsible for addressing any claims by you or any third party relating to the App or your possession and/or use of the App, including but not limited to: (i) product liability claims; (ii) any claim that the App fails to conform to any applicable legal or regulatory requirement; and (iii) claims arising under consumer protection, privacy, or similar legislation. This Agreement does not limit the Developer's liability beyond what is permitted by applicable law.

13. Legal Compliance

You represent and warrant that (i) you are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a "terrorist supporting" country; and (ii) you are not listed on any U.S. Government list of prohibited or restricted parties. You further agree to comply with all applicable laws, including the laws of the Kingdom of Saudi Arabia, in connection with your use of the App.

14. Limitation of Liability

Nothing in this Agreement limits or excludes any liability that cannot be limited or excluded under the laws of the Kingdom of Saudi Arabia. Otherwise, to the maximum extent permitted by law, we are not liable for any direct, indirect, or consequential loss or damage arising from: your use of, or inability to use, the App; reliance on any content available through the App; or viruses, technical attacks, or external links.

15. Third-Party Terms

You agree to comply with applicable third-party terms of agreement when using the App (for example, your wireless data service agreement). You acknowledge that your use of the Etimad and Forsa platforms remains subject to those platforms' own terms.

16. Apple as Third-Party Beneficiary

You acknowledge and agree that Apple, and Apple's subsidiaries, are third-party beneficiaries of this Agreement, and that, upon your acceptance of this Agreement, Apple will have the right (and will be deemed to have accepted the right) to enforce this Agreement against you as a third-party beneficiary of it.

18. Changes to this Agreement

We may modify, update, or replace any part of this Agreement at any time by updating the published version. Changes take effect upon publication, and your continued use of the App after any change constitutes acceptance of the modified Agreement.

19. Governing Law and Jurisdiction

This Agreement is governed by and construed in accordance with the laws and regulations of the Kingdom of Saudi Arabia, and the courts of the Kingdom of Saudi Arabia have exclusive jurisdiction, except where Apple's required terms or applicable mandatory consumer law provide otherwise.

By downloading, installing, or using the Tenders Alerts App, you acknowledge that you have read this Agreement, understood it, and agree to be bound by its terms.
